This Announcement is dated 9 June 2023.
Reference is made to the Company’s announcements on 6 April 2022, 22 April 2022, 30 September 2022, 5 October 2022, 21 October 2022, 10 November 2022 and 14 April 2023 in relation to the Proposed Acquisition.
On behalf of the Board, AmInvestment Bank wishes to announce that on 9 June 2023, the Company has entered into a conditional share purchase agreement with PNB to acquire the entire share capital of MIDF, comprising 480,355,627 ordinary shares in MIDF currently held by PNB, for the purchase consideration of RM1,014,295,048.55 (“Final Purchase Consideration”) (“SPA”). The Final Purchase Consideration shall be satisfied through the issuance and allotment of 1,050,828,629 new ordinary shares in MBSB (“MBSB Shares”) (“Final Consideration Shares”) at the issue price of RM0.9652 per Final Consideration Share (“Final Issue Price”) to PNB.
