Transactions (chapter 10 Of Listing Requirements) : Non Related Party Transactions

This announcement is dated 23 June 2023.

Reference is made to the Company’s announcements on 6 April 2022, 22 April 2022, 30 September 2022, 5 October 2022, 21 October 2022, 10 November 2022, 14 April 2023, 9 June 2023 and 13 June 2023 in relation to the Proposed Acquisition (“Earlier Announcements”).

Unless otherwise stated, all defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements.

On behalf of the Board of MBSB, AmInvestment Bank wishes to announce that Bursa Securities had vide its letter dated 22 June 2023, approved the listing of and quotation for 1,050,828,629 new MBSB Shares to be issued pursuant to the Proposed Acquisition subject to the amongst others, the following conditions:-

(i)         MBSB and AmInvestment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Acquisition;

(ii)         AmInvestment Bank to inform Bursa Securities upon the completion of the Proposed Acquisition;

(iii)        MBSB / AmInvestment Bank to furnish a certified true copy of the resolution passed by the shareholders approving the Proposed Acquisition;

(iv)        MBSB / AmInvestment Bank must observe and ensure full compliance with the 25% public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Listing Requirements prior to the listing and quotation of the Final Consideration Shares pursuant to the Proposed Acquisition; and

(v)        AmInvestment Bank to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’s approval once the Proposed Acquisition is completed.
